Acceptance of Terms

By accessing, browsing, or using any product, platform, service, application, website, or API operated by Vorenthic Labs (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Services. Your continued use of any Service following the posting of revised Terms constitutes your binding acceptance of such changes.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Vorenthic Labs ("Company", "we", "us", or "our").

Definitions

For the purposes of these Terms, the following definitions shall apply:

• "Services" means all products, platforms, applications, APIs, websites, desktop clients, command-line interfaces, browser extensions, and related tooling operated by Vorenthic Labs, including but not limited to Alpanzo AI, Alpanzo Code Suite, Vorenthic Accounts, and all subdomains of vorenthic.pages.dev.
• "Content" means any text, images, code, data, files, documents, audio, video, or other materials uploaded, submitted, generated, or transmitted through the Services.
• "Generated Content" means any output, response, code, image, or other material produced by our AI models in response to User inputs or prompts.
• "User Content" means any Content that you upload, submit, or transmit to the Services, including prompts, queries, files, and configuration data.
• "Account" means the registered identity you create to access authenticated features of the Services.
• "Subscription" means any paid tier, plan, or premium access level offered through the Services.

Eligibility

You must be at least thirteen (13) years of age to use the Services. If you are between thirteen (13) and eighteen (18) years of age (or the age of majority in your jurisdiction), you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Services, you represent and warrant that: (a) you have the legal capacity and authority to enter into these Terms; (b) you are not located in a country subject to a comprehensive embargo by the United States, the European Union, or the United Nations; (c) you are not listed on any sanctions or denied-persons list maintained by any government authority; and (d) your use of the Services will comply with all applicable local, national, and international laws and regulations.

Account Registration & Security

Certain features of the Services require you to create an Account. When registering, you agree to:

1. Provide accurate, current, and complete registration information.
2. Maintain and promptly update your registration information to keep it accurate, current, and complete.
3. Maintain the confidentiality of your password and any authentication credentials.
4. Accept full responsibility for all activities that occur under your Account.
5. Immediately notify us of any unauthorised use of your Account or any other breach of security.

We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised, is being used in violation of these Terms, or has been inactive for an extended period exceeding twelve (12) consecutive months.

License Grant & Restrictions

Subject to your compliance with these Terms, Vorenthic Labs grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes.

This licence does not include, and you shall not:

• Modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works based on any portion of the Services, except as expressly permitted by applicable law.
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices displayed on or within the Services.
• Use the Services to develop a competing product or service.
• Sublicense, lease, rent, sell, distribute, or otherwise commercially exploit the Services or any portion thereof to any third party.
• Use automated scripts, bots, scrapers, or other automated means to access the Services without prior written consent.
• Attempt to gain unauthorised access to any portion of the Services, other Accounts, computer systems, or networks connected to the Services.
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including rate limiting, authentication, and access controls.

AI Services & Generated Content

Our Services include artificial intelligence features that generate content in response to User inputs. You acknowledge and agree that:

1. No Guarantee of Accuracy. Generated Content is produced by machine learning models and may contain inaccuracies, errors, biases, or incomplete information. You are solely responsible for evaluating, verifying, and validating all Generated Content before reliance or use.
2. Not Professional Advice. Generated Content does not constitute legal, financial, medical, engineering, or any other form of professional advice. You should consult qualified professionals for matters requiring specialised expertise.
3. Ownership of Outputs. Subject to applicable law, you retain ownership of the prompts and inputs you provide. To the maximum extent permitted by law, we assign to you any rights we may hold in the Generated Content produced in response to your specific inputs, provided that identical or substantially similar outputs may be generated for other users.
4. Model Training. Unless otherwise stated in our Privacy Policy, we do not use your prompts, inputs, or conversation history to train or fine-tune our foundational AI models. Session data may be temporarily cached for performance optimisation and is deleted in accordance with our data retention policies.
5. Content Filtering. Our AI systems incorporate content safety mechanisms. We reserve the right to refuse, filter, or modify requests that violate our Acceptable Use policies or applicable law.

Acceptable Use & Prohibited Conduct

You agree not to use the Services to:

• Generate, distribute, or facilitate the creation of content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Generate content that infringes upon the intellectual property rights, privacy rights, or other proprietary rights of any third party.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Engage in any activity that could disable, overburden, impair, or compromise the integrity or performance of the Services or any connected infrastructure.
• Transmit any viruses, worms, trojan horses, or other malicious code through the Services.
• Use the Services for any purpose that violates applicable export control laws, sanctions regulations, anti-money laundering laws, or counter-terrorism financing regulations.
• Engage in systematic or large-scale data extraction, harvesting, or scraping of the Services or their outputs.
• Use the Services to generate spam, phishing content, or unsolicited commercial communications.
• Attempt to extract model weights, training data, system prompts, or proprietary algorithms from the Services.

Violation of this section may result in immediate suspension or termination of your Account and access to the Services, without prior notice and without liability to you.

Intellectual Property

All rights, title, and interest in and to the Services, including all software, designs, text, graphics, interfaces, logos, trademarks, service marks, and the selection, coordination, and arrangement thereof, are owned by Vorenthic Labs or its licensors and are protected by applicable intellectual property laws worldwide.

The names Vorenthic, Alpanzo, Alpanzo AI, Alpanzo Code, Sagittarius1, and all related logos, product names, and service names are trademarks of Vorenthic Labs. You are not granted any right or licence to use any of these trademarks without our prior written consent.

You retain all rights in your User Content. By submitting User Content to the Services, you grant Vorenthic Labs a limited, non-exclusive, royalty-free, worldwide licence to process, store, and display such User Content solely to the extent necessary to provide the Services to you.

Data Processing & Privacy

Your privacy is architecturally fundamental to our Services. Our collection, use, storage, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Services, you consent to the collection and processing of data as described in our Privacy Policy, including the use of cookies and similar tracking technologies as disclosed in our cookie consent mechanisms.

Third-Party Services

The Services may integrate with, rely upon, or contain links to third-party services, platforms, APIs, or content providers (collectively, "Third-Party Services"). These include, but are not limited to, cloud infrastructure providers, AI model hosting providers, authentication services, and content delivery networks.

We do not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your sole risk and is subject to the terms, conditions, and privacy policies of those third parties. We are not liable for any loss, damage, or harm arising from your use of, reliance upon, or interaction with any Third-Party Services.

Fees, Subscriptions & Billing

Certain features of the Services may require payment of fees or subscription charges. If you elect to use paid features:

1. All fees are stated in the currency indicated at the point of purchase and are exclusive of applicable taxes unless otherwise stated.
2. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
3. You authorise us (or our payment processor) to charge your designated payment method for all fees and charges incurred.
4. All fees are non-refundable except as expressly stated herein or as required by applicable law.
5. We reserve the right to modify pricing with thirty (30) days' prior written notice. Continued use after a price change constitutes acceptance of the new pricing.

Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Vorenthic Labs expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Vorenthic Labs does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Services will be accurate, reliable, or complete; (c) any errors in the Services will be corrected; or (d) the Services will meet your specific requirements or expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Vorenthic Labs, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF Vorenthic Labs HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total amount you paid to us in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).

Indemnification

You agree to indemnify, defend, and hold harmless Vorenthic Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) your violation of any applicable law or regulation.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Without limiting the foregoing, grounds for termination include:

• Violation of these Terms or any applicable policy.
• Conduct that we reasonably believe is harmful to other users, third parties, or the business interests of Vorenthic Labs.
• Requests by law enforcement or government agencies.
• Extended periods of inactivity.
• Unexpected technical or security issues.

You may terminate your Account at any time by contacting us or using the account deletion features provided in the Services. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 8, 12, 13, 15, and 18) shall survive.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. For users outside India, mandatory consumer protection laws of your jurisdiction may apply to the extent they cannot be waived or overridden by agreement.

Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation between the parties for a period of not less than thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered in accordance with the rules of the applicable arbitration institution in the jurisdiction of the respondent party. The language of arbitration shall be English.

Class Action Waiver. To the fullest extent permitted by applicable law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable in your jurisdiction, then the entirety of this arbitration provision shall be null and void with respect to such jurisdiction.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or equitable relief from a court of competent jurisdiction for the protection of intellectual property rights or confidential information.

Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and, where practicable, provide notice through the Services or via the email address associated with your Account.

Your continued use of the Services after any modification to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.

Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Vorenthic Labs with respect to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, regarding the Services.
